1. Agreement

These Terms of Service apply to the Arisius Software website, BPS Pro desktop software, BPS Pro subscriptions, trial accounts, file services, registration services, password reset services, and related services. By creating an account, subscribing, or using BPS Pro, you accept these terms on behalf of yourself and the business or professional entity you represent.

If a separate written agreement signed by Arisius Software and the customer expressly overrides these terms, that written agreement prevails only for the conflicting provisions.

2. Business use only

BPS Pro is intended only for businesses, self-employed professionals, legal entities, and other professional users. It is not offered as a consumer product. Registration requires a valid VAT number that the registering person owns, manages, or is legally authorized to represent.

By registering or using BPS Pro, you confirm that you act for professional purposes, that the company information is accurate, and that you have authority to bind the company. Arisius Software may refuse, suspend, or terminate access if the VAT number is invalid, the company cannot be verified, or the registration appears unauthorized.

3. Trial and subscription

New registrations may start with a free trial. After the trial period, continued use requires an active paid subscription unless Arisius Software agrees otherwise in writing. Website registration creates the BPS Pro company account and trial; Peppol activation, where available, is handled separately inside BPS Pro.

The selected pack, monthly subscription price, optional modules, extra users, invoice limits, overage rules, and prices are shown before purchase or change. Prices are listed excluding VAT unless stated otherwise. VAT, taxes, and payment details may be handled through Stripe or another payment provider.

Subscriptions are recurring until cancelled according to the available cancellation flow. Cancellation normally takes effect at the end of the then-current billing period unless stated otherwise in the subscription flow. Changes to a subscription can affect future invoices and may result in prorated charges or credits handled by the payment provider.

If payment fails or a subscription is overdue, access may be limited, suspended, or terminated after reasonable notice where feasible. Arisius Software may correct obvious pricing or configuration errors and may change prices or packs prospectively with reasonable notice.

4. Company administrator and users

The company administrator is responsible for subscription choices, user management, permissions, account security, company settings, Peppol settings, connected email accounts, and the accuracy of company information. Users must keep login credentials secure and notify the administrator or Arisius Software promptly if unauthorized access is suspected.

Actions taken through a user account may be treated as actions of the customer company. The customer company is responsible for removing access for users who no longer need access or are no longer authorized.

5. Customer data and responsibility

The customer company remains responsible for all business data entered into BPS Pro, including invoices, credit notes, purchase documents, uploaded files, planning data, worker data, jobsite data, customer data, supplier data, email recipients, payment details, Peppol data, and accounting records.

The customer company is responsible for checking the accuracy and completeness of documents, amounts, VAT treatment, invoice numbers, recipients, Peppol identifiers, email content, attachments, and any business decisions made using BPS Pro. BPS Pro is business software, not legal, accounting, tax, or financial advice.

The customer company must ensure that it has a lawful basis and all required notices, consents, permissions, and records for the personal data it enters into BPS Pro or asks Arisius Software to process.

6. Acceptable use

You may not use BPS Pro or related services for unlawful activity, unauthorized access, spam, malware, phishing, fraud, infringement, harassment, disruption, reverse engineering, excessive automated use, or processing data that you are not allowed to process.

You may not attempt to bypass technical limits, subscription limits, security controls, Peppol provider rules, payment controls, user permissions, or file access restrictions. Arisius Software may suspend access where misuse, security risk, legal risk, or material breach is suspected.

7. Email and connected accounts

When a user connects an email account, BPS Pro may send messages from that account only after the user configures and uses that connection. The customer company remains responsible for message content, recipient selection, attachments, lawful communication, and compliance with email, anti-spam, confidentiality, and privacy rules.

Gmail connections are optional and depend on Google APIs, Google account permissions, Google verification requirements, and continued availability of the Google service.

8. Electronic invoicing and third-party services

BPS Pro can connect with third-party services for payments, Peppol, VAT validation, email delivery, accounting workflows, and related features. These services can include Stripe, Brevo, Google, Qvalia, Peppol network participants, public VAT validation services, hosting providers, and other technical providers.

Availability, acceptance, delivery, validation, and processing can depend on those providers. Arisius Software is not responsible for outages, delays, rejection rules, account requirements, legal requirements, or data processing controlled by third-party providers, except where mandatory law provides otherwise.

Peppol delivery and receipt depend on correct company data, correct recipient data, provider availability, network rules, and applicable access point requirements. The customer company remains responsible for verifying whether a document must also be followed up through another channel.

9. Data processing agreement

For personal data in customer business data where the customer company is controller and Arisius Software processes that data on behalf of the customer, this section forms the data processing agreement between the parties under Article 28 GDPR.

Arisius Software will process such personal data only to provide, secure, maintain, support, and improve BPS Pro and related services, or as otherwise documented by the customer through use of the service, these terms, support requests, or written instructions.

Arisius Software will ensure that persons authorized to process customer personal data are bound by confidentiality obligations, will use appropriate technical and organizational measures, and will assist the customer where reasonably possible with data subject requests, security obligations, and data breach handling, taking into account the nature of the service and information available to Arisius Software.

The customer authorizes Arisius Software to use subprocessors and service providers needed to provide BPS Pro, including hosting, storage, backup, email delivery, payment, Peppol, accounting, diagnostics, and support providers. Arisius Software remains responsible for imposing appropriate data protection obligations on processors it engages for customer personal data.

After termination, Arisius Software may delete, return, anonymize, or retain customer data according to the customer's reasonable instructions, technical possibilities, backup cycles, legal obligations, security needs, and dispute requirements.

10. Security, backups, and exports

Arisius Software uses reasonable technical and organizational measures to protect BPS Pro and related services. Security also depends on customer-side choices, including strong passwords, careful permission management, secure devices, and timely removal of former users.

Backups and synchronization features are intended for service continuity and recovery, but they do not replace the customer company's own legal, accounting, archival, or export obligations. The customer company should keep its own records and exports where required by law or business practice.

11. Intellectual property and license

BPS Pro, the website, software code, interface, documentation, logos, designs, and branding remain the property of Arisius Software or its licensors. Subject to these terms and the active subscription, the customer receives a limited, non-exclusive, non-transferable right to use BPS Pro for its own internal business purposes.

You may not copy, resell, sublicense, rent, modify, decompile, reverse engineer, or create derivative works from BPS Pro except where mandatory law expressly allows this and only within those limits.

12. Availability, maintenance, and support

Arisius Software aims to keep BPS Pro and its connected services available and reliable. Unless a separate written service level agreement applies, no specific uptime or response-time guarantee is given.

Maintenance, updates, internet problems, customer infrastructure, provider outages, security measures, force majeure, or legal requirements may temporarily affect availability. Support is provided through the available contact channels and may depend on the customer's subscription, configuration, and cooperation.

13. Updates and changes to the service

Arisius Software may update, improve, modify, replace, or discontinue parts of BPS Pro or related services. We aim to avoid unnecessary disruption, but changes may be required for security, legal compliance, provider changes, technical compatibility, or product improvement.

Customers are responsible for installing or allowing required updates where needed to maintain compatibility, security, and access to connected services.

14. Liability

To the maximum extent allowed by law, Arisius Software is not liable for indirect damages, consequential damages, loss of profit, loss of revenue, loss of goodwill, business interruption, loss of data caused by customer-side issues, or decisions made based on incorrect, incomplete, late, or unauthorized data entered by users or third parties.

To the maximum extent allowed by law, Arisius Software's total aggregate liability for claims relating to BPS Pro or these terms is limited to the amount paid by the customer for BPS Pro during the six months before the event giving rise to the claim, excluding VAT. If no paid subscription exists, the liability cap is EUR 100.

Nothing in these terms excludes or limits liability where the law does not allow exclusion or limitation, including liability for intentional misconduct, fraud, or other liability that cannot legally be excluded or limited.

15. Suspension and termination

Arisius Software may suspend or terminate access if the service is misused, payment fails, security is at risk, the VAT registration is invalid or unauthorized, legal risk exists, third-party provider access is withdrawn, or these terms are breached.

The customer may stop using BPS Pro and cancel according to the available subscription flow. Termination does not affect amounts already due, legal obligations, accrued rights, confidentiality, data processing obligations, intellectual property, liability limits, or clauses intended to survive termination.

16. Governing law and courts

These terms are governed by Belgian law, excluding conflict-of-law rules. Unless mandatory law requires another forum, disputes fall under the competent courts of the judicial district where Arisius Software has its registered business address.

17. Changes

We may update these Terms of Service when the service, legal requirements, provider requirements, security needs, pricing, or business conditions change. The latest version is published on this page. Continued use after an updated version becomes effective means acceptance of the updated terms.
